Restoring files from Windows backup while at work today. Get home put my new 8gb RAM in, reload programs, and the rest of the fun stuff that comes along with doing a clean install.
I think I'm gonna call Microsoft and get that disc replaced. I might need it someday for repair.

I know this is an old post but but I found have done what you are looking for. 1: it is impossible to upgrade from 32 to 64 bit os. Not compatible. 2: here is what I did, set pc to load from cd. insert win 7 64 in tray and reboot. system will load the disk. when it asks you for the License DO NOT put in the key. Let it load with out it. When it is done loading the new 64 win 7 it will tell you that you have 30 days to get a license in. Now just run the win 7 cd normal in windows and it will ask if you want to upgrade. Say yes and put in the upgrade key. Win 7 will load again but now you have a valid upgrade for your win 7. A lot of work I know but I have proven this works twice with my laptop and desktop. Both running a 32 bit window program. This also works for anyone who does not want to buy a full copy. the upgrade disk already has it, it's just the key that is an upgrade key. Follow the above and you can get the full copy of an upgrade price. PM me if you have any questions. Again, I have done this twice and I know it works.
